Terms of Use

These Terms govern your use of NextPlay. Please read them carefully, especially the license covering videos and other content submitted to the Platform.

1. Acceptance of these Terms

These Terms of Use (the “Terms”) are a binding agreement between you and NextPlay (“NextPlay,” “we,” “us,” or “our”). They govern your access to and use of our websites, mobile experiences, video tools, athlete profiles, team features, messaging, content, and related services (collectively, the “Platform”).

By creating an account, accessing the Platform, uploading content, or clicking to accept these Terms, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform or upload content.

2. Eligibility and minors

You must be legally able to enter into this agreement. If you are under the age of majority where you live, a parent or legal guardian must review and accept these Terms for you and supervise your use of the Platform.

A parent, guardian, coach, team administrator, or other adult who creates or manages an account or profile for a minor represents that they are authorized to do so and consent to the collection and use of information and content as described in these Terms and our Privacy Policy. Coaches and team administrators are responsible for obtaining any permissions required by their organization, league, school, athletes, and parents or guardians.

3. Accounts and security

You must provide accurate information, keep it current, protect your login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account and may not sell, transfer, share, or misuse an account or team access code.

We may verify account information, roles, team relationships, or consent when reasonably necessary to protect users or the Platform.

4. The Platform

NextPlay provides tools for creating and editing sports highlights, publishing athlete and team profiles, communicating with teams, sharing content, tracking engagement, and related features. Features may change, be added, limited, suspended, or discontinued. We do not guarantee that any feature or content will always be available, error-free, or compatible with every device or third-party service.

The Platform is not a recruiting agency, talent representative, educational institution, healthcare provider, or guarantor of athletic opportunities, scholarships, roster placement, exposure, or results.

5. Your content and responsibilities

“User Content” means any video, audio, image, profile, name, likeness, logo, statistic, message, comment, data, or other material you upload, record, create, submit, publish, transmit, or otherwise make available through the Platform.

You retain any ownership rights you have in your User Content. You are solely responsible for your User Content and represent that it is accurate where presented as fact and that you have all rights, licenses, permissions, releases, and consents needed to upload it and grant the rights in these Terms.

  • You have permission from every identifiable person shown or heard, including a parent or legal guardian for each minor where required.
  • You have permission to use any footage, music, audio, team or league marks, uniforms, venue imagery, broadcasts, graphics, statistics, and other protected material included in the content.
  • Your content and our permitted use of it will not violate privacy, publicity, copyright, trademark, contract, confidentiality, or other rights, or any school, league, team, venue, or event rule.
  • Your content is not unlawful, deceptive, defamatory, exploitative, abusive, harassing, discriminatory, sexually explicit, dangerous, or otherwise harmful.

6. License to videos and other User Content

You keep your ownership rights, but when you upload, record, create, submit, or make User Content available on NextPlay, you grant NextPlay and our affiliates, service providers, partners, successors, and assigns a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, cache, reproduce, copy, modify, edit, crop, adapt, translate, combine, synchronize, format, enhance, create derivative works from, distribute, transmit, stream, broadcast, publicly perform, publicly display, publish, republish, promote, advertise, market, commercialize, monetize, and otherwise use that User Content, in whole or in part, in any media, format, product, service, or channel now known or later developed.

This license includes the right to use any video on the Platform—and the names, usernames, images, voices, performances, likenesses, biographical information, statistics, team names, team logos, and other elements appearing in or associated with that video—for operating, securing, providing, improving, testing, developing, demonstrating, promoting, marketing, and monetizing NextPlay and related products or services. Uses may include social media, advertisements, promotional reels, compilations, websites, app-store listings, presentations, broadcasts, editorial features, and other commercial or noncommercial materials.

To the fullest extent permitted by law, we may exercise these rights without additional approval, notice, attribution, or compensation to you or any person appearing in the content. You authorize us to identify you by account name or profile information, but we are not required to do so. You waive, and agree not to assert, any moral rights or similar rights you may have in the permitted uses, to the extent such waiver is allowed by law.

The license begins when User Content is submitted and continues for as long as reasonably necessary for the purposes above. If you delete content or close your account, the license will end within a commercially reasonable period for uses that have not already begun, but it will continue for content incorporated into existing productions, promotions, compilations, derivative works, public posts, sublicenses, or business records, and for backup, archival, security, fraud-prevention, and legal-compliance purposes.

You understand that content shared publicly or with teams may be viewed, saved, recorded, reshared, or used by others outside our control. If you do not want to grant this license, do not upload or submit the content to NextPlay.

7. Platform ownership

Except for User Content, the Platform and all software, designs, interfaces, features, trademarks, logos, text, graphics, templates, workflows, and other materials provided by us are owned by or licensed to NextPlay and are protected by intellectual-property laws. We grant you a limited, personal, revocable, non-exclusive, non-transferable right to use the Platform in accordance with these Terms.

You may not copy, reverse engineer, scrape, sell, sublicense, interfere with, circumvent security for, or commercially exploit the Platform except as expressly authorized by us or permitted by law. Feedback and suggestions you provide may be used by us without restriction or compensation.

8. Acceptable use and community safety

You may not use the Platform to:

  • Break any law, infringe another person’s rights, or violate a school, league, team, or event rule.
  • Harass, threaten, exploit, groom, bully, discriminate against, impersonate, or endanger another person, especially a minor.
  • Upload malicious code, bypass access controls, probe security, disrupt service, automate unauthorized access, scrape data, or misuse team codes.
  • Send spam, scams, deceptive promotions, or unauthorized commercial communications.
  • Post private or sensitive information without authorization, or collect information about minors for an improper purpose.
  • Manipulate engagement, misrepresent performance or identity, or use the Platform for gambling or unlawful surveillance.

9. Moderation and enforcement

We may, but are not obligated to, review, screen, monitor, restrict, remove, preserve, or disclose User Content or account information when we reasonably believe it is necessary to operate the Platform, enforce these Terms, protect users, investigate misconduct, comply with law, or respond to emergencies. Automated tools may assist with safety, moderation, and fraud prevention.

We may warn users, limit features, remove content, suspend or terminate accounts, preserve evidence, or report conduct to relevant organizations or authorities. Our decision not to act in one instance does not waive our right to act later.

10. Paid services and subscriptions

Prices, billing periods, included usage, taxes, and renewal terms are shown at purchase. By purchasing a subscription or paid feature, you authorize the stated charges through Base44 Payments and agree that recurring subscriptions may renew automatically until canceled as described at checkout or in your account.

You must cancel before renewal to avoid the next charge. Except where required by law or expressly stated at purchase, fees are nonrefundable and unused features, credits, or time have no cash value. We may change prices or plan features with advance notice when required by law.

11. Privacy and communications

Our Privacy Policy explains how we collect, use, share, and protect information. By using the Platform, you also consent to receive service-related electronic communications, such as account, security, team, transaction, and policy notices. You may manage optional communications through available settings or unsubscribe methods.

12. Third-party services and links

The Platform may link to or interoperate with third-party websites, payment services, social networks, app stores, devices, or other services. We do not control and are not responsible for their content, availability, security, or practices. Your use of third-party services may be governed by separate terms and policies.

13. Copyright and rights complaints

We respect intellectual-property and personal rights. If you believe content on the Platform infringes your rights, use our Contact page and provide enough detail to identify the work or right, the disputed content and its location, your contact information, a statement of your good-faith belief, and confirmation that your report is accurate and authorized. We may remove content and take action against repeat infringers.

14. Suspension and termination

You may stop using the Platform at any time. We may suspend or terminate access, remove content, or impose limits if you violate these Terms, create risk or legal exposure, fail to pay amounts due, or if doing so is reasonably necessary to protect the Platform or others. Provisions that by their nature should survive will survive, including content licenses, ownership, payment obligations, disclaimers, limitations of liability, indemnity, and dispute terms.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” NEXTPLAY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS.

WE DO NOT WARRANT THAT CONTENT WILL BE PRESERVED OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. KEEP YOUR OWN BACKUP OF IMPORTANT VIDEOS AND DATA. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTPLAY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, CONTENT, GOODWILL, OR OPPORTUNITIES; OR UNAUTHORIZED ACCESS, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE PLATFORM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR 100 U.S. DOLLARS. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

17. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless NextPlay and its affiliates, officers, directors, employees, agents, partners, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your User Content, your use or misuse of the Platform, your violation of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim results from our own unlawful conduct.

18. Disputes and governing law

Before filing a formal claim, you and NextPlay agree to make a good-faith effort to resolve the dispute by providing written notice through our Contact page and allowing 30 days for a response. These Terms are governed by applicable law, without regard to conflict-of-law principles. Unless applicable consumer law requires otherwise, disputes must be brought in a court of competent jurisdiction where NextPlay is headquartered.

Nothing in this section prevents either party from seeking urgent injunctive relief, reporting an issue to a government agency, or pursuing rights that cannot lawfully be limited.

19. Changes to these Terms

We may update these Terms as the Platform, our practices, or the law changes. We will post the revised Terms and update the effective date, and will provide additional notice when required. Continued use after the revised Terms take effect means you accept them. If you do not agree to a revision, you must stop using the Platform.

20. General terms

These Terms, the Privacy Policy, and any purchase-specific terms are the entire agreement concerning the Platform. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with our business or the Platform. Headings are for convenience only.
